Michael D. Orlando

Michael D. Orlando is an associate in the Corporate Practice Group in the firm's Del Mar Heights office.

Areas of Practice

Michael has broad experience in business transactions and in advising privately held, mid-market, and fortune 500 companies across a variety of industries, such as action sports, apparel, e-commerce, software, telecommunications, life science, and real estate.  Michael is also part of the international business team and has been involved in deals across Europe, South America, Asia and the Pacific.

Business Formation and Operations

Michael advises companies of all sizes and industries in their business formation, structuring (U.S. and international), entity selection, and capital raising, including the representation of emerging growth companies.  He assists companies in their strategic planning as well as their day to day and commercial business arrangements, including manufacturing, supply, distribution, licensing and strategic alliances.  In addition, Michael works with real estate developers, sponsors, and funds in structuring limited liability companies for real estate joint ventures.

Intellectual Property

Michael assists companies with the evaluation, protection, and commercialization of their intellectual property portfolios, including trademarks, copyrights, and technology.  Michael’s experience spans a variety of industries, from trademark licensing, strategic alliances, and endorsement/sponsorship agreements for sports equipment and apparel companies, to technology licenses and supply agreements for software and life science companies.  Prior to practicing law, Michael managed several Internet businesses and a web application development firm, which gives him unique insight when structuring web development, advertising and other Internet agreements.

Mergers & Acquisitions/Real Estate

Michael works on mergers and acquisitions for both private and public companies, representing both sellers and purchasers in transactions involving cash, stock, debt, and assets and advising companies on post acquisition arrangements, including recapitalizations and complex earn-outs.  Michael also has experience in commercial real estate, and hotel and resort purchase and sales.

Prior to joining Sheppard Mullin, Michael worked in Hawaii as an associate with Goodsill, Anderson, Quinn & Stifel, LLP, Hawaii's largest law firm.
